1. About Fiscal Pro

Fiscal Pro (Pvt) Ltd (“Fiscal Pro”, “we”, “us”) builds software and services that help businesses operate efficiently and remain compliant.
Our core focus is e‑invoicing and fiscalization in Zimbabwe, including integrations to the Zimbabwe Revenue Authority (“ZIMRA”) fiscalization ecosystem (for example FDMS-related processes).

We also build and operate other industry platforms (for example solutions supporting fuel operations and cargo/airport handling workflows), and we often integrate with third‑party ERPs, POS systems, accounting tools, and payment providers.

2. Acceptance of these Terms

By accessing or using our website or online services (together, the “Services”), you agree to these Terms.
If you do not agree, please do not use the Services.

If you are using the Services on behalf of a company, you confirm you have authority to bind that company to these Terms.

3. What we provide

Depending on what you engage us for, the Services may include:

• Access to our web applications, APIs, and dashboards.
• Fiscalization / e‑invoicing workflows, including generating fiscal tax invoices and related reporting.
• Device management, monitoring, and operational tooling for multi-branch businesses.
• Integration services between Fiscal Pro and third‑party systems (ERP/POS/accounting/banking/payment platforms).
• Support services, onboarding, training, and troubleshooting.

We may add, change, or remove features over time. Where a change is material, we will try to provide reasonable notice (for example through the website or email).

4. Definitions (for clarity)

• Customer: the company or person who contracts with Fiscal Pro or uses the Services.
• User: an individual who accesses the Services under a Customer account.
• Platform: Fiscal Pro’s applications, APIs, and related infrastructure.
• Fiscal Device: a physical or virtual device identity used for fiscalization and invoice issuance.
• Third‑party: any entity other than Fiscal Pro, including integration partners and vendors.

5. Accounts, access, and security

Some parts of the Services require an account. You agree to provide accurate information and keep it current.
You are responsible for all activity under your account, including activity by your Users.

• Keep passwords/OTPs and access tokens confidential.
• Use strong passwords and enable available security controls.
• Notify us promptly if you suspect unauthorized access.

6. Acceptable use

You agree not to misuse the Services. This includes (without limitation):

• Attempting to gain unauthorized access to systems, accounts, or data.
• Uploading malware, running automated attacks, or conducting security scans without written permission.
• Using the Services to commit fraud, misrepresent transactions, or falsify fiscal or tax records.
• Interfering with service availability (for example, intentional overload or abuse).
• Violating applicable laws or third‑party rights.

We may suspend or restrict access if we reasonably believe there is misuse, security risk, or unlawful activity.

7. Fees, billing, and payments

Some Services are paid. Fees, billing cycles, and inclusions are set out in your quotation, invoice, pricing schedule, SLA, or order form (as applicable).

• Taxes: Prices may be exclusive or inclusive of applicable taxes depending on your documentation.
• Renewals: Subscription-style services typically renew on the agreed cycle unless cancelled in advance.
• Non‑payment: Late or unpaid accounts may lead to suspension until payment is received.

8. Availability, maintenance, and support

We design the Platform for reliability, but no online service is perfect. Planned maintenance may occur.
Support channels and response targets (if any) are defined by your support plan or SLA.

9. Third‑party systems and integrations

Many deployments depend on third‑party systems (for example, POS/ERP providers, internet connectivity, device hardware, hosting, payment networks, or government systems).
We are not responsible for third‑party outages, API changes, or failures outside our reasonable control.

Where we build an integration, we will implement it based on documented third‑party interfaces. If the third‑party changes their interface, additional work may be required.

10. Intellectual property

Fiscal Pro retains all rights in the Platform, including software, templates, designs, trademarks, and documentation, unless a signed agreement states otherwise.
Customers retain rights to their own data and brand assets they provide.

11. Privacy and data handling

Our Privacy Policy explains what information we collect and how we use it.
Where you are an enterprise customer, data processing obligations may be further governed by a Data Processing Addendum (DPA).

12. Disclaimers

• No legal or tax advice: We provide software and operational support. You remain responsible for your tax decisions and compliance obligations.
• Accuracy of inputs: Outputs depend on data you provide. You must review key outputs (especially fiscal and tax outputs) for correctness.
• Government systems: Where fiscalization requires external systems, those systems may be unavailable or delayed.

13. Limitation of liability

To the maximum extent permitted by law, Fiscal Pro will not be liable for indirect, incidental, special, consequential, or punitive damages,
or for loss of profits, revenue, data, goodwill, or business interruption.

Where liability cannot be excluded, our total aggregate liability for claims relating to the Services is limited to the fees you paid to Fiscal Pro
for the Services in the three (3) months immediately before the event giving rise to the claim, unless your signed contract specifies a different cap.

14. Indemnity

You agree to indemnify and hold Fiscal Pro harmless from claims and losses arising from (a) your misuse of the Services,
(b) unlawful activity conducted through your account, or (c) your breach of these Terms.

15. Suspension and termination

You may stop using the Services at any time. We may suspend or terminate access if you breach these Terms, fail to pay applicable fees,
or if continued access creates a security or legal risk.

16. Governing law and disputes

These Terms are governed by the laws of Zimbabwe. If a dispute arises, we encourage parties to attempt to resolve it in good faith first.
If unresolved, disputes may be referred to the courts with jurisdiction in Zimbabwe, unless a signed contract specifies arbitration or a different forum.

17. Changes to these Terms

We may update these Terms from time to time. The “Last updated” date at the top shows when changes were last made.
Continued use after changes means you accept the updated Terms.
